The International Office of the General Counsel is a small team based in three countries. The team provides legal advice on key strategic issues for, and supports the execution of key business decisions made by, KPMG International. Role and Responsibilities

The role will involve working, under the ultimate supervision of the General Counsel or other senior experienced lawyers in the team, on a wide variety of matters involving cross-border legal risk and regulation, internal investigations, governance, structural matters, investments, business relationships (in particular, with the KPMG member firms) and protection and use of the organisation’s brand.

Some international travel may be required.

Person Requirements

We are looking for a qualified lawyer with significant contentious experience in areas such as investigations, litigation, and managing and advising on significant brand and legal risk matters of approximately 5 years PQE (or equivalent, if not qualified in the UK), although all candidates with demonstrable ability to fulfil the role will be considered.

A successful candidate is likely to have or be able to demonstrate:

- Excellent legal technical skills
- Experience of working as part of a legal team in relation to complex cross-border commercial matters. This experience may have been gained at a top law firm or in an equivalent in-house position.
- Legal experience which has mostly been gained advising in contentious areas such as investigations, litigation and managing and advising on significant brand and legal risk matters.
- An understanding of business drivers affecting, and legal, regulatory and business risks faced by, large global organizations.
- Awareness of own strengths and areas for development.
- Ability to work flexibly and collaboratively as part of a small, supportive team while taking responsibility for their own work.
- Ability to provide clear and pragmatic advice to, and deal confidently with, individuals at all levels.
- Ability to deal with people from different cultures in an appropriate way.

Role and Responsibilities:



Our Manchester Legal Services business was established over 5 years ago. We now enter a new phase of growth and require a high calibre Corporate lawyer to join the team.



• Early Legal Input into Tax Advice – providing our clients with tax advice that has already been reviewed by lawyers
• Implementation of Tax Advice – providing our clients with a simple and cost-effective way of successfully implementing our tax advice
• Review and Rectification of Implementations – reviewing existing structures and helping clients preserve value by rectifying inadequate implementations and operation
• Unwinding Structures – unwinding defunct or unwanted structures
• Mergers & Acquisitions – primarily deal advice on both sides of a transaction including Corporate law advice, guidance, implementation, regulatory and applicability.



Experience Required:



The applicant will be a corporate lawyer with a good range of experience in areas of law such as structuring and reorganisations, mergers and acquisitions, private equity, joint ventures, funds, debt listings and intra-group financing arrangements, corporate governance, commercial arrangements, share investments and/or the implementation of employee incentive arrangements.



The applicant must have a high level of technical knowledge with regards to UK corporate and contract law. Familiarity with partnership, trust, regulatory, banking and/or insolvency law would be helpful. In addition, a successful applicant will have the ability to get up to speed quickly on esoteric areas and be keen to continue developing his/her legal skills and engage in new areas of work.



The applicant must be able to demonstrate his/her experience on transactions (while ensuring that other senior members of the team are kept informed and involved at appropriate times), and to supervise and develop more junior members of the team. Strong project management skills are a must.



The applicant should have good experience of coordinating the provision of advice and the production of complex and interrelated legal agreements and documentation by advisers in several jurisdictions. While consulting appropriately on difficult issues, he/she must be able to deliver robust and appropriate legal advice and exercise sound judgement.



The successful applicant will have significant experience of working with demanding clients across a wide spectrum of size and activities, and will be expert at service delivery. He/she must be able to demonstrate sound client relationship and business development skills, and a keenness to develop these skills further. The successful applicant will be expected to take responsibility for servicing and building part of the existing business of the team. The successful applicant will help promote the team’s work through participating in team and firm events, giving internal and external presentations, and producing expert articles for publication.



Education and qualifications:



It is expected that the successful applicant will be a UK-qualified solicitor with a minimum of 4 years’ PQE experience, which should have been gained in the UK at a reputable firm (but applicants with other suitable experience will also be considered). Financial Sector: Insurance Tax Manager

The Department

The Insurance tax team, part of the wider FS tax team in KPMG, is a group of around 25 tax professionals of all grades, including 3 partners and 3 directors. The team is spread across 3 sites – London, Bristol and Edinburgh. The team works as a national team and location does not dictate client allocation.

Our business covers the gamut of insurance clients, including major UK-based insurers, international insurance groups, life insurers, pension product and other specialist providers, and brokers.

The core insurance team provides mainly corporate tax advisory and M&A services, and facilitates the provision of corporate tax compliance services, as well as tax advisory services covering the full range of non-corporate taxes. We are generally the main point of contact for the client for all taxes.

The Opportunities

The extent of change affecting the Insurance sector has raised enormous opportunities and significant challenges for KPMG. Regulatory and legislative change, as well as changes in the underlying market climate (appetite to claim, claimant fraud, risk profile change, technology impact) are driving insurance companies to embrace transformational change both to internal systems and to client facing products and operations. There are significant opportunities around these changes, often not tax driven, but which have tax impact where we can contribute positively for our clients.

Responsibilities:

Work can involve general insurance, life assurance, brokerage and Lloyds clients, and may involve any aspects of corporate tax, including product taxes, and wider cross-discipline projects.

The role is a national role, and could be based in London, Bristol or Edinburgh at one of our three insurance hubs.

The successful candidate should have a strong desire to be a dynamic part of an active insurance tax team.

The Individual:

The successful candidate should be able to demonstrate:

- Good knowledge of UK corporate tax;
