The Role

The Technology in M&A team at KPMG is a growing and dynamic team. We deal with all aspects of the technology function, from strategy, cloud, digital, technology spend, etc. We work with both acquirers and vendors on pre- and post-deal technology issues.
Our three key client proposition areas are:
1) Due diligence: Highlighting key risks and opportunities in the target’s technology environment in order to ensure that acquirers are aware of key issues that may impact valuation.
2) Integration: Planning pre and post deal to support the client to integrate the technology function and systems into the buyer’s organisation while enhancing value.
3) Separation: Supporting vendors to plan and deliver a credible, discrete standalone entity on Day 1 to the buyer with value preserved and business continuity ensured from a technology perspective including support to define and implement transitional service agreements.

In this role, you will work on projects closely alongside senior members of the team, who will provide guidance and insight into the deal environment, enabling you to build your transactions knowledge and further develop your technology skills base.
Your responsibilities will include:
— Leading small to medium sized engagements and being the day to day support for clients on these engagements
Due Diligence
— Contributing to and reviewing technology related deal and transaction reports
— Analysing and data mapping to comment on the technology of the business including cost, products and systems and technology contracts
— Providing insights on technology aspects of the deal that are relevant to the client and readers of the technology due diligence reports and explaining issues simply, highlighting the impact of technology on business strategy, operations and, ultimately, deal valuation.
— Developing an understanding of technology benchmark and qualitative information to provide insights to clients to describe a typical technology function
— Contributing content for sections of reports/deliverables
Integration & Separation
— Advising on technology aspects of integration, separation (carve outs) and optimisation initiatives (e.g. synergy analysis) including the development of target operating models, understanding the current IT landscape, defining transitional service agreements, developing detailed plans, and supporting the implementation of such plans.
— Lead the technology workstream in integrations and separations within a larger team of Integration & Separation colleagues, working and supporting the client workstream leads to fulfil their workstream objectives
— Facilitation and leading key client workshops and meetings
— Identification or review of client synergies for technology within a larger team
Wider responsibilities
— Interacting with senior client stakeholders as well as internal stakeholders (KPMG Partners and Directors) and understand stakeholder management, external and internal

— When you are not working on a project, you will provide support to senior colleagues in a number of different aspects such as preparation of proposal materials, development of propositions etc.

You will be responsible for managing small teams and workstreams on projects as well as developing junior team members skills and capabilities on internal initiatives and in client facing work. You will also take on performance management responsibilities for junior team members.
You will be the point of contact for key clients on projects and must be able to build strong relationships externally and internally. You will also be responsible for managing upwards for project leaders and will have to understand what requires escalation and when.
You will be responsible for managing risk on smaller projects and for taking the lead on engagement management.

The Person

The Role

KPMG's Integration Advisory Team works with both acquirers and vendors on pre- and post-deal Integration and Separation issues related to M&A or similar transactions.
The Finance in M&A team is a specialist capability which supports the growth of the Integration & Separation practice. The team is built using a mix of consultants and industry-trained finance professionals, and has the ambition to be the advisor of choice for M&A issues which impact the finance function.
You will be working with highly motivated and high calibre individuals to build the leading team in the industry and work regularly on 'front page headline' deals for a client base comprising a wide range of publicly listed corporates, private companies, private equity houses and public sector organisations.

When working on a project you will be interacting with multiple stakeholders every day the level of seniority will depend on the nature of the organisation but is likely to span from Finance Manager to CFO and other Board level positions depending on the project.

HR M&A sits within the broader Integration & Separation (I&S) team in Deal Advisory. The I&S team focusses on all aspects of the Deal lifecycle advising on the operational enablement of large, global M&A programmes

The Role
In HR M&A we advise on all aspects relating to HR and change management on the deals process from HR due diligence through to deal execution. Our focus areas:

1) Employee experience: Shaping the employee experience strategy and executing an engagement program. This often is based on our unique digital engagement platform, to ensure that the workforce is engaged and key talent is retained in order to protect deal value
2) Organisational Design: Building and developing tailored organisational design, people strategy, operating models and driving synergies and value creation for integrations, carve-outs or JVs
3) Labour relations and compliance: Ensuring that labour and HR risks and obligations are understood and managed globally in order to deliver on the deal timelines and planned changes. We have one of the strongest experiences in workforce transition in the market and have advised on the transition of >150,000 employees across >80 countries
4) HR operations: HR Operations focuses on the integration of the HR function itself, from strategy, operating model, integration or separation of systems and processes including standing up/securing payroll on deals

You will be leading the day to day running of engagements providing support to project leadership and junior team members on a variety of M&A projects from small transactions to global programmes from a people, HR and communications perspective

Client Delivery:
- Lead the HR workstream and effectively manage client relationships as well as those in the wider KPMG team (including junior team members)
- Leverage previous HR / consulting experience to provide practical advice and commercial solutions to client issues
- Contribute to and analyse deal related reports e.g. due diligence from a people or strategy perspective and communicate findings in simple and understandable way

- Contribution of content for sections of reports/deliverables.
- When you are not working on a project, you will provide support to senior colleagues in preparation of proposal materials.
- You will need to be willing to travel as we mainly work from client sites and have a global portfolio of clients. The length of a project can be anywhere from one week to one year, although a typical project will last a few weeks and we would aim to give you as diverse an experience as possible.
Role dimensions

Leadership & Management:
Whilst working on a project its likely depending on project size and experience there will be opportunities to provide a management and leadership role for 1 or more people. On a day to day basis outside of projects there are no direct reports for this role.

Stakeholder Interaction & challenges:
When working on a project you will be interacting with multiple stakeholders every day the level of seniority will depend on the nature of the organisation but is likely to span from Finance Manager to CFO and other Board level positions depending on the project

The Finance in M&A team sits within the Integration & Separation (I&S) team the fastest growing area within the KPMG portfolio. The I&S team are the fastest growing team and operate within the Deal Advisory group as part of the UK practice.

Essential
- Background in Management Consulting or an operational finance role in industry.
- A good understanding of the component parts of a finance function and the typical organisational structure, processes, controls, systems and performance metrics/ benchmarks.
- Experience of supporting finance change projects and business improvement in industry or a consulting environment.Desirable
- Professional qualification preferred (ACA, CIMA, MBA or equivalent).
- Exposure to the operational finance issues created by finance integrations, separations and carve outs.
Expertise / Technical role requirements
- Operational finance experience could include activities such as planning, budgeting and forecasting, finance business partnering, management reporting, ERP systems implementation, cash management or design and operation of core end-to-end processes (Record to Report, Procure to Pay, Order to Cash etc.).
- Awareness of current leading practice and future trends in creating efficient and effective finance functions, including supporting business strategy, operating model design and implementation, disruptive technologies and creating insight from data.Skills:
- Good client relationship skills.
- Analysis and problem solving.
- Presentation (oral and written).
- Report writing.
- Financial and commercial awareness.
- A keen interest in merger and acquisitions.
- Individuals should be comfortable working in the high pressured yet often ambiguous and flexible conditions that characterise transactions.
